Public Offer Agreement for the Provision of SMM Ping Services

This Public Offer Agreement is an official public offer of Individual Entrepreneur Markov Tymur Romanovych, Taxpayer Registration Number: 3852807070, who carries out business activities in accordance with the laws of Ukraine, to enter into an agreement for the provision of services under the terms and conditions set out below.

This Public Offer Agreement is an electronic agreement within the meaning of the Law of Ukraine “On Electronic Commerce” and an adhesion agreement within the meaning of the Civil Code of Ukraine.

The Website is a publicly accessible website available for free visual review at https://smmping.com, which belongs to and/or is lawfully used by Individual Entrepreneur Markov Tymur Romanovych and through which services are provided.

This Public Offer Agreement is addressed to any individual or legal entity intending to use the SMM Ping service, create an account, top up the balance, place orders, or otherwise use the functionality of the Website.

The User may save, copy, or print the text of this Public Offer Agreement at any time.

This Public Offer Agreement also defines the terms of use of the Website, the procedure for providing services, payment terms, refund rules, and other rules of interaction between the User and the Contractor.

1. Terms and Definitions

1.1. Contractor — Individual Entrepreneur Markov Tymur Romanovych, Taxpayer Registration Number: 3852807070.

1.2. Website / Platform / SMM Ping — the website https://smmping.com, through which Users can view the list of services, register an account, top up their balance, place orders, and receive informational, marketing, and related services.

1.3. User / Customer — any individual or legal entity that has accepted the terms of this Public Offer Agreement and uses the functionality of the Website.

1.4. Services — informational, marketing, technical, and other related services available on the Website, including services related to promotion, analytics, automation, management, or support of activity on social networks and other online platforms, depending on the current list of services available on the Website or in the User’s account.

1.5. Order — a request created by the User through the functionality of the Website for the provision of a specific service with the required parameters.

1.6. Balance — an internal accounting indicator of the User’s funds on the SMM Ping Platform, which may be used exclusively to pay for services on the Website. The Balance is not electronic money, a bank account, a payment instrument, or a financial service.

1.7. Acceptance — the full and unconditional acceptance by the User of the terms of this Public Offer Agreement by registering on the Website, topping up the Balance, placing an Order, making a payment, or actually using the SMM Ping services.

2. General Provisions

2.1. This Public Offer Agreement defines the procedure for providing services by the Contractor, the rights and obligations of the Parties, the payment procedure, the rules for using the Website, refund terms, the procedure for handling requests, and other essential terms of the agreement.

2.2. The User confirms that before accepting this Public Offer Agreement, they have carefully read its terms, understand their meaning, and agree to them in full.

2.3. If the User does not agree with the terms of this Public Offer Agreement, the User must stop using the Website and must not place any Orders.

2.4. The Contractor has the right to amend the terms of this Public Offer Agreement, the list of services, tariffs, technical rules for using the Website, and other service terms.

2.5. The new version of this Public Offer Agreement comes into force from the moment it is published on the Website, unless otherwise expressly stated in the new version.

2.6. Amendments to this Public Offer Agreement apply to new Orders placed after the updated version is published on the Website and do not affect already paid Orders, unless otherwise provided by law or by the terms of a specific service.

3. Subject of the Agreement

3.1. The Contractor provides the User with access to the SMM Ping Platform and the ability to order services available on the Website.

3.2. The specific list of services, their description, cost, estimated completion time, minimum and maximum order volumes, and other parameters are displayed on the Website or in the User’s account.

3.3. The User independently selects the service, enters the data required for its execution, checks the correctness of the entered information, and confirms the Order.

3.4. The Contractor is not a representative, partner, affiliate, or official service of any social networks or other online platforms, including YouTube, Instagram, Facebook, TikTok, X/Twitter, or any other platforms, unless expressly stated otherwise.

3.5. The Services are provided remotely in electronic form through the functionality of the Website.

4. Procedure for Concluding the Agreement

4.1. This Agreement is concluded in electronic form by publishing this Public Offer Agreement by the Contractor on the Website and by the User accepting it.

4.2. Acceptance of this Public Offer Agreement shall be deemed to occur when the User performs any of the following actions:

  • registration of an account on the Website;
  • logging into the account and using the functionality of the Website;
  • topping up the Balance;
  • placing an Order;
  • making a payment;
  • actual use of the SMM Ping services.

4.3. From the moment of Acceptance, this Public Offer Agreement becomes a binding agreement between the Contractor and the User.

4.4. The User confirms that they accept the terms of this Public Offer Agreement voluntarily, without coercion, in full and without any reservations.

5. Registration and Account

5.1. To use certain functions of the Website, the User may create an account.

5.2. The User undertakes to provide accurate, complete, and up-to-date information during registration and use of the Website.

5.3. The User is responsible for maintaining the confidentiality of access to their account, login, password, and other authorization tools.

5.4. All actions performed from the User’s account are deemed to have been performed by the User, unless proven otherwise.

5.5. The User must immediately notify the Contractor in case of loss of access to the account or suspicion of unauthorized access.

6. Procedure for Providing Services

6.1. Services are provided after the User places an Order and the corresponding amount is debited from the User’s Balance or after successful payment by another available method.

6.2. Order completion times indicated on the Website are approximate unless expressly stated otherwise in the description of a specific service.

6.3. The Contractor has the right to change the technical route, method of execution, or service provider if this is necessary for the proper execution of the Order and does not worsen the essential terms of the service for the User.

6.4. The User understands that the result of the Services may depend on the rules, algorithms, technical limitations, and actions of third parties, including social networks, online platforms, payment providers, hosting providers, and other services.

6.5. The Contractor does not guarantee any result that is not expressly provided for in the description of a specific service on the Website.

6.6. The Service is considered properly provided from the moment of its actual execution in accordance with the Order parameters or from the moment the corresponding Order status is displayed in the User’s account.

6.7. If the User provides an incorrect link, identifier, username, quantity, Order parameters, or other data necessary for the execution of the service, the Contractor is not responsible for the impossibility of execution or improper result of such Order.

7. Cost of Services and Payment Procedure

7.1. The cost of services is determined according to the tariffs published on the Website or in the User’s account at the time of placing the Order.

7.2. Prices on the Website are indicated in the currency available in the relevant Website interface. Unless otherwise expressly stated, the cost of services includes all taxes, fees, and mandatory payments applicable to such services under the laws of Ukraine.

7.3. The Contractor has the right to change tariffs at any time. Such changes apply only to new Orders and do not affect Orders already placed and paid for, unless otherwise provided by law or by the terms of a specific service.

7.4. Payment for services is made using the payment methods available on the Website, including payment services, bank cards, payment providers, or other methods available at the time of payment.

7.5. Payments may be processed by third-party payment providers. The Contractor does not store full bank card details of the User and does not have access to confidential payment data.

7.6. The fact of successful payment or Balance top-up is confirmed by information in the User’s account and/or by a document generated by the payment provider.

7.7. Fees of payment systems, banks, or payment providers may be charged in accordance with their rules and tariffs.

8. User Balance

8.1. Funds credited to the User’s Balance may be used to pay for services on the SMM Ping Platform.

8.2. The Balance is maintained exclusively as an internal accounting record of the available limit for ordering services on the Website.

8.3. The Balance is not a bank account, electronic wallet, electronic money, deposit, loan, or any other financial service.

8.4. The Contractor has the right to verify payments, restrict or cancel the crediting of funds in case of suspected fraud, mistaken payment, use of third-party payment instruments, violation of payment provider rules, or violation of legal requirements.

9. Refunds and Order Cancellation

9.1. The User has the right to contact support regarding Order cancellation or refund in cases provided for by this Public Offer Agreement and the laws of Ukraine.

9.2. If the Order has not yet been accepted for processing, the User may contact support with a request to cancel it, provided that such cancellation is technically possible.

9.3. If the Order is already being processed or executed, its cancellation and refund are possible only in cases expressly provided for by the terms of the specific service, this Public Offer Agreement, or the laws of Ukraine.

9.4. If the Order is cancelled by the system, cannot be fulfilled due to the fault of the Contractor, or is partially completed, the unused part of the funds is returned to the User’s Balance.

9.5. Refund of the unused Balance to the original payment method is possible in cases provided for by the laws of Ukraine, the rules of the payment provider, or by separate agreement with the Contractor.

9.6. Refunds may be made using the same method by which the payment was made, unless otherwise provided by the rules of the payment provider, technical limitations, or the laws of Ukraine.

9.7. The User agrees that the Services may begin to be performed immediately after the Order is placed, before the expiration of the possible period for withdrawal from a distance agreement, if such period applies under the laws of Ukraine.

9.8. If the Service has been fully or partially actually provided with the User’s consent before the expiration of the possible period for withdrawal from a distance agreement, the refund for such Service may not be made, except in cases expressly provided for by the laws of Ukraine, this Public Offer Agreement, or the terms of a specific service.

9.9. The User agrees not to initiate unfounded disputes, chargebacks, or fraud claims regarding payments that were made voluntarily and provided that the Contractor properly provided the Services.

9.10. In case of any issue regarding payment, Order, or quality of service, the User agrees to first contact the Contractor’s support service to resolve the situation.

10. Rights and Obligations of the User

10.1. The User has the right to:

  • use the Website in accordance with this Public Offer Agreement;
  • receive information about available services, their cost, and execution terms;
  • contact support regarding the operation of the Website, payments, and Order execution;
  • require proper provision of paid services in accordance with their description;
  • contact support regarding refunds in cases provided for by this Public Offer Agreement and the laws of Ukraine.

10.2. The User undertakes to:

  • use the Website only in a lawful manner;
  • not violate the rights of third parties, the rules of social networks, the rules of online platforms, or legal requirements;
  • not use the Website for illegal activities, fraud, spam, distribution of prohibited content, or other actions that may harm the Contractor or third parties;
  • independently check the correctness of data entered when placing an Order;
  • not create excessive technical load on the Website;
  • not attempt to obtain unauthorized access to the Website, servers, databases, or accounts of other users;
  • not use third-party payment instruments without the consent of their lawful owner;
  • regularly review the current version of this Public Offer Agreement.

11. Rights and Obligations of the Contractor

11.1. The Contractor has the right to:

  • provide, change, temporarily restrict, or terminate access to certain functions of the Website;
  • change the list of services, tariffs, and technical conditions for their provision;
  • refuse to execute an Order if it violates the law, social network rules, the terms of this Public Offer Agreement, or may cause harm to the Contractor or third parties;
  • block or restrict the User’s account if the User violates this Public Offer Agreement;
  • carry out technical maintenance, updates, security checks, and other actions necessary for the proper operation of the Website.

11.2. The Contractor undertakes to:

  • provide services in accordance with the terms published on the Website;
  • provide the User with access to information about services, tariffs, and rules for using the Website;
  • receive User requests through the contact channels specified on the Website;
  • take reasonable measures to ensure the operability and security of the Website;
  • process Users’ personal data in accordance with the laws of Ukraine and the Privacy Policy.

12. Limitation of Liability

12.1. The Contractor is not responsible for actions or omissions of third parties, including social networks, online platforms, payment providers, banks, hosting providers, internet providers, and other services.

12.2. The Contractor is not responsible for consequences caused by the User entering incorrect links, identifiers, usernames, quantities, Order parameters, or other information.

12.3. The Contractor does not guarantee that the use of the Services will not affect the User’s accounts on social networks or other online platforms if such use violates the rules of the relevant platforms or is carried out by the User at their own risk.

12.4. The Contractor is not responsible for temporary unavailability of the Website caused by technical maintenance, network failures, actions of third parties, force majeure circumstances, or other reasons beyond the Contractor’s control.

12.5. The Contractor is not responsible for loss of expected profit, reputational risks, blocking or restriction of the User’s accounts by third-party platforms, if such consequences did not arise due to the Contractor’s fault.

12.6. The limitations of liability provided for in this Public Offer Agreement apply to the extent permitted by the laws of Ukraine.

13. Intellectual Property

13.1. All elements of the Website, including texts, design, logos, interface, software code, databases, and other materials, belong to the Contractor or are used by the Contractor on lawful grounds.

13.2. The User is prohibited from copying, reproducing, distributing, modifying, or using Website materials without the Contractor’s written permission, except in cases expressly permitted by law or by the functionality of the Website.

13.3. Names, trademarks, logos, and other designations of third parties that may be mentioned on the Website belong to their lawful owners.

14. Personal Data and Privacy

14.1. The Contractor processes Users’ personal data for the purpose of registration, provision of services, processing of Orders, payment processing, communication with Users, ensuring Website security, and complying with legal requirements.

14.2. The User gives consent to the processing of their personal data by registering on the Website, placing an Order, making a payment, or otherwise using the Website.

14.3. The Contractor does not sell Users’ personal data to third parties.

14.4. Payment data may be processed by payment providers in accordance with their rules, privacy policies, and legal requirements.

14.5. Detailed terms for the processing of personal data are defined in the Privacy Policy published on the Website.

15. Prohibited Use of the Website

15.1. It is prohibited to use the Website for:

  • violation of the laws of Ukraine or the laws of other countries, if applicable to the relevant legal relationship;
  • violation of intellectual property rights, privacy rights, or other rights of third parties;
  • publication, promotion, or support of illegal, fraudulent, violent, pornographic, discriminatory, or other prohibited content;
  • bypassing technical restrictions of the Website;
  • interference with the operation of the Website, servers, networks, or software;
  • use of payment instruments without the consent of their lawful owner;
  • actions that may cause claims, sanctions, blocking, or other negative consequences for the Contractor, the Website, or third parties.

15.2. In case of detected violations, the Contractor has the right to restrict the User’s access to the Website, cancel Orders, block the account, refuse further service, and/or contact competent authorities.

16. Requests and Claims Procedure

16.1. The User may contact the Contractor regarding the operation of the Website, payment, Order execution, refunds, or other matters via the contact email: support@smmping.com.

16.2. The request must contain the User’s contact details, a description of the issue or claim, Order number, payment date, or other information necessary to review the request.

16.3. The Contractor reviews User requests within a reasonable period, depending on the complexity of the issue, the scope of the required verification, and the involvement of third parties, including payment providers or service providers.

16.4. The User agrees to provide additional information necessary to verify the payment, Order, or circumstances of the request, if such information is necessary and justified.

17. Force Majeure

17.1. The Parties are released from liability for non-performance or improper performance of obligations under this Public Offer Agreement if such non-performance resulted from force majeure circumstances.

17.2. Force majeure circumstances include, in particular, war, hostilities, terrorist acts, cyberattacks, fires, natural disasters, decisions of public authorities, interruptions in the operation of payment systems, internet providers, hosting providers, social networks, or other circumstances that the Parties could not foresee or prevent.

17.3. The Party affected by force majeure circumstances shall notify the other Party of such circumstances within a reasonable period, if technically possible.

18. Term of the Agreement

18.1. This Agreement enters into force from the moment the User accepts this Public Offer Agreement.

18.2. The Agreement remains valid throughout the entire period of the User’s use of the Website and until the Parties fully perform their obligations.

18.3. The User may stop using the Website at any time.

18.4. The Contractor has the right to terminate or restrict the User’s access to the Website in cases provided for by this Public Offer Agreement and the laws of Ukraine.

19. Applicable Law and Dispute Resolution

19.1. The relationship between the Contractor and the User is governed by the laws of Ukraine.

19.2. All disputes and disagreements shall be resolved by the Parties through negotiations whenever possible.

19.3. If a dispute cannot be resolved through negotiations, it shall be resolved in accordance with the laws of Ukraine.

The Contractor’s activity is not subject to mandatory licensing unless otherwise expressly established by the laws of Ukraine.

21. Final Provisions

21.1. This Public Offer Agreement is open and publicly available.

21.2. The User confirms that all terms of this Public Offer Agreement are clear to them and that they accept them fully and without reservations.

21.3. If any provision of this Public Offer Agreement is found to be invalid, this shall not affect the validity of the remaining provisions.

21.4. The current version of this Public Offer Agreement is always available on the Website.

21.5. In all matters not expressly regulated by this Public Offer Agreement, the Parties shall be governed by the laws of Ukraine.

21.6. If this English version differs from the Ukrainian version of the Public Offer Agreement, the Ukrainian version shall prevail.
